Membership Agreement

Effective Date: July 14, 2026

This Membership Agreement (“Agreement”) is entered into between Socialbilitty Studios, LLC, a California limited liability company (“Socialbilitty,” “we,” “us,” or “our”), and the individual or legal entity that creates, maintains, or uses a registered Socialbilitty membership or account (“Member,” “you,” or “your”).

This Agreement governs registered access to Socialbilitty membership features, authenticated applications, member communications, dashboards, submissions, and related services that expressly link to this Agreement (collectively, the “Membership Services”).

Merely visiting the public pages of https://socialbilitty.com does not, by itself, make a visitor a Member under this Agreement. Public website use is governed by Socialbilitty’s Terms & Conditions.

By creating an account, selecting an acceptance box, registering for Membership Services, or continuing to use an existing membership after being presented with this Agreement, you acknowledge that you have read, understood, and agree to be bound by it.

If you do not agree, do not register for or use the Membership Services.

1. About the Membership Services

Socialbilitty Studios, LLC is a Los Angeles-based entertainment information and media company building the Hollywood Operating System (HOS).

The Membership Services may provide registered users with access to Socialbilitty Trade Desk features and other services involving:

  • Production activity
  • Workforce developments
  • Vendor information
  • Training opportunities
  • Employment opportunities
  • Industry information and reports
  • Saved content and preferences
  • Dashboards, alerts, recommendations, or notifications
  • Submission, communication, and collaboration features
  • Future HOS and SAT-supported tools

Available features may differ according to membership level, location, eligibility, testing status, device, or service availability.

Socialbilitty is not a talent agency, employment agency, staffing company, payroll company, employer, labor union, guild, production company hiring service, or professional representative.

Membership does not guarantee employment, interviews, referrals, representation, funding, production, business opportunities, vendor engagement, or any particular result.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to register for Membership Services unless Socialbilitty expressly provides a separate authorized program for younger users.

If you register on behalf of a company, production, vendor, school, organization, or other legal entity, you represent that you have authority to bind that entity to this Agreement.

Socialbilitty may establish additional eligibility, verification, professional, geographic, or membership requirements for specific features.

3. Registration and Account Information

You agree to:

  • Provide accurate, current, and complete registration information
  • Keep your account information reasonably current
  • Create only accounts you are authorized to create
  • Maintain the confidentiality of your password and login credentials
  • Use reasonable safeguards to prevent unauthorized access
  • Notify Socialbilitty promptly if you suspect unauthorized use or a security breach

You are responsible for activity conducted through your account to the extent permitted by law.

You may not sell, transfer, rent, sublicense, or share your account with another person unless Socialbilitty expressly authorizes it.

Socialbilitty may request verification of identity, professional affiliation, organization, location, or other submitted information when reasonably necessary to protect the platform or administer a feature.

4. Membership Levels and Features

Socialbilitty may offer free, trial, paid, invitation-only, verified, organizational, or other membership levels.

Membership features may be added, removed, tested, limited, suspended, or modified over time.

Access to an experimental, beta, preview, or early-access feature does not guarantee that the feature will become permanent or remain available in its current form.

Socialbilitty does not guarantee continuous availability of any particular feature, report, alert, recommendation, dataset, integration, or Membership Service.

5. Fees, Billing, and Renewals

If Socialbilitty offers a paid membership, the applicable price, billing period, included features, renewal terms, and cancellation method will be disclosed before purchase.

You authorize Socialbilitty and its payment processors to charge the payment method you provide for amounts you knowingly authorize.

Socialbilitty will not treat a paid membership as automatically renewing unless the renewal terms are clearly disclosed and you affirmatively agree to them.

Where a membership renews automatically, Socialbilitty will provide notices, acknowledgments, cancellation methods, and other disclosures required by applicable law.

Unless otherwise stated at purchase:

  • Fees are quoted in United States dollars.
  • Applicable taxes may be added.
  • Membership access may be suspended for unsuccessful or reversed payments.
  • Refund eligibility will be governed by the terms presented at purchase and applicable law.

Any material price change will be communicated before it applies to a future renewal.

6. Cancellation

You may cancel a paid membership through the cancellation method made available within the service or identified in the applicable purchase terms.

Cancellation generally prevents future renewal charges but does not necessarily provide a refund for a current billing period unless required by law or expressly stated in the purchase terms.

You may also discontinue use of a free membership at any time and may request account closure by contacting Socialbilitty.

Account closure does not automatically require immediate deletion of all information. Certain information may be retained as described in the Privacy Policy or as permitted or required by law.

7. Member Content

“Member Content” means information, text, data, files, photographs, images, links, messages, responses, documents, materials, communications, or other content that you submit, upload, publish, transmit, or otherwise provide through the Membership Services.

You retain ownership of Member Content that you own.

By submitting Member Content, you represent and warrant that:

  • You own the content or have sufficient rights and authorization to submit it.
  • The content is accurate to the best of your knowledge when accuracy is relevant.
  • The content does not violate law, contract, confidentiality obligations, privacy rights, publicity rights, intellectual property rights, or other rights.
  • The submission does not contain malicious code or harmful material.
  • You are not improperly disclosing confidential production, employer, client, union, guild, vendor, personal, or proprietary information.

8. License to Operate the Services

You grant Socialbilitty a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, process, and otherwise use Member Content only as reasonably necessary to:

  • Operate and improve the Membership Services
  • Display content to you or other authorized recipients
  • Review and respond to submissions
  • Maintain records and platform security
  • Enforce this Agreement
  • Perform a purpose you request or expressly authorize

This license does not transfer ownership of your Member Content to Socialbilitty.

The license ends when the content is deleted from active systems, except to the extent copies remain in backups, legal records, security records, aggregated data, or other retained records permitted under the Privacy Policy or applicable law.

9. Creative Materials and Unsolicited Submissions

Socialbilitty does not claim ownership of original creative materials that you submit.

Unless Socialbilitty has expressly invited a submission through a designated process, do not submit unsolicited scripts, treatments, pitch decks, concepts, artwork, footage, music, confidential business plans, or other creative materials.

Submission of creative material does not create:

  • An obligation to review or respond
  • A confidential or fiduciary relationship
  • An option, shopping agreement, representation agreement, or production agreement
  • An employment or partnership relationship
  • An obligation to develop, purchase, license, produce, finance, or compensate

Socialbilitty may independently develop or receive materials that resemble ideas, themes, formats, characters, titles, concepts, or subject matter contained in a submission.

Any formal development, acquisition, licensing, production, partnership, or compensation arrangement must be set forth in a separate written agreement signed by authorized parties.

10. Information, Signals, and Recommendations

Membership Services may provide production information, employment information, vendor information, training information, reports, alerts, scores, recommendations, forecasts, signals, summaries, or other informational outputs.

These outputs may rely on public information, third-party sources, user submissions, editorial review, automated processing, or analytical systems.

Socialbilitty does not guarantee that any information is complete, current, error-free, predictive, or suitable for a particular decision.

A signal, score, alert, recommendation, report, or listing does not constitute:

  • Confirmation that a production is hiring
  • A job offer or employment referral
  • A guarantee that an opportunity exists or remains available
  • Endorsement of an employer, production, vendor, school, course, person, or organization
  • Legal, financial, tax, investment, employment, safety, or professional advice

Members are responsible for independently verifying information before acting on it.

11. Employment Opportunities

Socialbilitty may publish, organize, link to, summarize, or surface employment opportunities and related information.

Unless expressly stated otherwise:

  • Socialbilitty is not the employer.
  • Socialbilitty does not control employer decisions.
  • Socialbilitty does not guarantee the accuracy or availability of a listing.
  • Socialbilitty does not guarantee an interview, response, placement, booking, referral, or employment outcome.
  • Members are responsible for evaluating employers, terms, working conditions, compensation, credentials, and legal requirements.

Members should never pay an unknown party, provide unnecessary sensitive information, or rely solely on a listing without independently verifying the opportunity.

12. Member Conduct

You agree not to use the Membership Services to:

  • Violate applicable law or regulation
  • Misrepresent your identity, credentials, authority, affiliation, experience, or intentions
  • Submit fraudulent, deceptive, defamatory, abusive, threatening, discriminatory, or unlawful material
  • Harass, stalk, exploit, intimidate, or harm another person
  • Infringe intellectual property, privacy, publicity, contractual, or other rights
  • Disclose confidential production, employment, union, guild, client, vendor, or business information without authorization
  • Scrape, harvest, crawl, index, extract, copy, resell, or commercially exploit platform data without permission
  • Circumvent access controls, membership restrictions, paywalls, security measures, or technical limitations
  • Access another Member’s account without authorization
  • Introduce malware, automated attacks, harmful code, or unreasonable traffic
  • Use platform information for spam, mass solicitation, unauthorized recruiting, surveillance, discrimination, or unlawful profiling
  • Reverse engineer or attempt to derive source code, models, scoring methods, or nonpublic system logic except where such restriction is prohibited by law
  • Use Socialbilitty’s name, trademarks, reports, or information in a false, misleading, or unauthorized manner

13. Moderation and Enforcement

Socialbilitty may review, remove, limit, restrict, preserve, or disclose Member Content when reasonably necessary to:

  • Operate or protect the Membership Services
  • Investigate suspected misconduct
  • Address legal or safety concerns
  • Respond to a valid legal request
  • Enforce this Agreement
  • Protect Socialbilitty, Members, or others

Socialbilitty is not obligated to monitor every account, communication, submission, or item of Member Content.

14. Privacy

Use of the Membership Services is governed by the Socialbilitty Privacy Policy and any additional privacy notice presented for a particular product or feature.

By using the Membership Services, you acknowledge that personal information may be processed as described in the applicable privacy notices.

15. Socialbilitty Intellectual Property

The Membership Services and all associated software, interfaces, designs, databases, compilations, reports, branding, trademarks, logos, text, graphics, audiovisual materials, scoring systems, taxonomies, structures, and original content are owned by or licensed to Socialbilitty and are protected by applicable law.

Subject to this Agreement, Socialbilitty grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Membership Services for their intended personal or authorized business purpose.

This license does not permit you to reproduce, distribute, sublicense, sell, publicly display, commercially exploit, scrape, reverse engineer, or create derivative products from Socialbilitty materials without written permission.

16. Third-Party Services and Content

The Membership Services may contain links, integrations, listings, content, or services provided by third parties.

Socialbilitty does not control and is not responsible for third-party:

  • Content
  • Accuracy
  • Availability
  • Hiring decisions
  • Products or services
  • Security
  • Privacy practices
  • Terms
  • Conduct

Your dealings with a third party are between you and that third party.

17. No Agency, Employment, or Partnership

Nothing in this Agreement creates an agency, fiduciary, partnership, joint venture, franchise, employment, union representation, talent representation, management, brokerage, or similar relationship between Socialbilitty and a Member.

No Member has authority to bind Socialbilitty or make commitments on its behalf.

18. Suspension and Termination

You may stop using the Membership Services at any time.

Socialbilitty may suspend, restrict, or terminate an account or feature when reasonably necessary because of:

  • A violation of this Agreement
  • Suspected fraud, misuse, or security risk
  • Nonpayment
  • Legal or regulatory requirements
  • Risk to another person, the platform, or Socialbilitty
  • Discontinuation of a service
  • Extended inactivity
  • Another lawful business reason

Where practical and appropriate, Socialbilitty may provide notice or an opportunity to correct a violation, but it is not required to do so in every case.

Upon termination, your right to use the affected Membership Services ends.

Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, licenses already granted, disclaimers, limitations of liability, indemnification, dispute resolution, and retained records.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the Membership Services are provided “AS IS” and “AS AVAILABLE.”

Socialbilitty disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and uninterrupted operation.

Socialbilitty does not warrant that the Membership Services will be error-free, secure, continuously available, or produce any particular employment, production, financial, creative, professional, or business outcome.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

20. Limitation of Liability

To the fullest extent permitted by law, Socialbilitty Studios, LLC and its managers, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

  • Membership or platform use
  • Inability to access a service
  • Member Content
  • Third-party content or conduct
  • Missed, changed, inaccurate, or unavailable opportunities
  • Employment, hiring, vendor, training, financing, development, or production outcomes
  • Loss of data, revenue, profits, reputation, business, or opportunity

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

If applicable law does not permit a complete exclusion, Socialbilitty’s aggregate liability arising from the Membership Services will not exceed the greater of:

  1. The amount you paid Socialbilitty for the affected Membership Services during the 12 months preceding the event giving rise to the claim; or
  2. One hundred United States dollars.

21. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Socialbilitty Studios, LLC, its managers, officers, employees, contractors, affiliates, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your Member Content
  • Your misuse of the Membership Services
  • Your violation of this Agreement
  • Your violation of law
  • Your infringement or violation of another person’s rights

Socialbilitty reserves the right to control the defense of a matter subject to indemnification, and you agree to reasonably cooperate.

22. Informal Dispute Resolution

Before filing arbitration or litigation, the complaining party must send a written notice describing:

  • The party’s name and contact information
  • The account email, if applicable
  • The nature of the dispute
  • The facts supporting the claim
  • The requested resolution

Notices to Socialbilitty must be sent to info@socialbilitty.com with the subject line “Legal Dispute Notice.”

The parties will attempt in good faith to resolve the matter informally for at least 30 days after receipt of the notice.

This requirement does not prevent either party from seeking urgent temporary or injunctive relief where legally appropriate.

23. Binding Arbitration and Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for claims eligible for small-claims court and matters seeking temporary or injunctive relief concerning unauthorized access, misuse, or intellectual property, any dispute arising out of or relating to this Agreement or the Membership Services will be resolved through individual binding arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

The arbitration may occur by telephone, video conference, document submission, or in person as permitted by the applicable AAA rules.

The arbitrator may award the same individual remedies available in court, subject to this Agreement and applicable law.

The parties agree that disputes will be resolved only on an individual basis.

Neither party may bring or participate in a class, collective, coordinated, consolidated, mass, or representative proceeding to the extent such waiver is enforceable under applicable law.

If a court determines that a particular claim or requested remedy cannot lawfully be arbitrated on an individual basis, only that claim or remedy will proceed in court after the remaining arbitrable matters are resolved.

Small-Claims Court

Either party may bring an eligible individual claim in small-claims court instead of arbitration.

Arbitration Fees

Payment of arbitration fees will be governed by the AAA rules and applicable law.

Socialbilitty will not seek to require a consumer to pay fees greater than those permitted under the applicable AAA consumer rules.

Right to Opt Out

You may opt out of this arbitration provision by sending written notice within 30 days after first accepting this Agreement.

The notice must include:

  • Your full name
  • Your account email address
  • A clear statement that you are opting out of the arbitration provision in the Socialbilitty Membership Agreement

Send the notice to info@socialbilitty.com with the subject line “Arbitration Opt-Out.”

Opting out of arbitration will not affect the remaining provisions of this Agreement or your eligibility to use the Membership Services.

24. Governing Law and Venue

Except where federal law applies or applicable law requires otherwise, this Agreement is governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute not subject to arbitration or small-claims court must be brought in the state or federal courts located in Los Angeles County, California, and the parties consent to their jurisdiction and venue.

25. Changes to This Agreement

Socialbilitty may update this Agreement to reflect changes in Membership Services, law, security practices, or business operations.

When legally required, we will provide advance notice and request renewed acceptance before a material change applies.

For other updates, the revised Agreement will be posted with a new Effective Date.

Changes will not retroactively alter the resolution of an existing dispute unless both parties agree.

26. General Terms

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in effect, except as specifically stated in the arbitration section.

Failure to enforce a provision is not a waiver.

You may not assign this Agreement without Socialbilitty’s written permission. Socialbilitty may assign it as part of a merger, acquisition, financing, restructuring, asset transfer, or similar transaction.

This Agreement, together with the Terms & Conditions, Privacy Policy, applicable purchase terms, and any feature-specific terms, constitutes the entire agreement governing the Membership Services.

If a feature-specific agreement conflicts with this Agreement, the more specific agreement will control for that feature.
